Terms of Service

Last Updated: July 2026

These Terms of Service ("Terms") form a legally binding agreement between you and North OS Technologies Ltd. ("North", "we", "our", "us") governing your access to and use of the North OS platform, website, applications, APIs and related services (together, the "Service"). By creating an account, joining the waitlist, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is designed for business use. You may not use the Service if you are barred from doing so under applicable law, or if we have previously suspended or removed you from the Service.

2. Business and Consumer Users

The Service is primarily intended for business users. If you use the Service as a consumer in the United Kingdom, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection law, and any provision that would be unenforceable against a consumer applies to you only to the extent permitted by law.

3. Accounts and Security

  • You must provide accurate, complete registration information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You must notify us immediately of any unauthorised access or security breach.
  • You may not share accounts or credentials, and you may not transfer your account without our consent.
  • We may require multi-factor authentication or other security measures.

4. AI Services Disclaimer

The Service includes artificial intelligence features that generate content, summaries, recommendations, and automations ("AI Outputs").

  • AI Outputs may be inaccurate, incomplete, outdated or misleading ("hallucinations").
  • AI Outputs are provided for informational purposes only and require independent human review before being relied upon.
  • AI Outputs do not constitute legal, tax, accounting, financial, medical, HR or other professional advice.
  • You must not use AI Outputs as the sole basis for decisions with legal or similarly significant effects on individuals, including employment, credit, insurance or housing decisions.
  • You make all final decisions. North is not responsible for business decisions made based on AI Outputs.

Our full AI Usage Policy is incorporated into these Terms by reference.

5. Beta Features

We may offer alpha, beta, preview, early access or waitlist features ("Beta Features"). Beta Features are provided "AS IS", may change or be withdrawn at any time, may be subject to additional terms, and are excluded from any service level commitments. We may collect feedback on Beta Features and use it without restriction or obligation.

6. Subscriptions, Auto-Renewal and Payment

  • Paid plans are billed in advance on a recurring basis (monthly or annually) unless stated otherwise.
  • Auto-renewal: subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
  • Fees are stated exclusive of taxes. You are responsible for applicable VAT, sales tax and similar charges.
  • We may change prices with at least 30 days' notice; changes apply from your next renewal.
  • Late or failed payments may result in suspension of the Service.
  • Payments are processed by third-party payment providers; we do not store full card details.

7. Refund Policy

Except where required by law, fees are non-refundable, including for partial billing periods, downgrades or unused features. UK and EU consumers may have a statutory 14-day cancellation right for online purchases; by accessing the Service immediately you consent to supply of digital services within the cancellation period and acknowledge that you may lose the right to cancel once the Service has been fully performed. If we materially fail to provide the Service and cannot remedy the failure, contact us and we will assess a pro-rata refund in good faith.

8. Intellectual Property and License

The Service — including source code, models, prompt libraries, agents, workflows, user interfaces, APIs, documentation, databases, algorithms, branding, logos and designs — is owned by North and its licensors and is protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. No other rights are granted. All rights not expressly granted are reserved.

9. Your Content and AI-Generated Content

  • Your Content. You retain ownership of the data, documents, prompts and other materials you submit to the Service ("Customer Content"). You grant us a worldwide, non-exclusive license to host, process, transmit and display Customer Content solely to provide and secure the Service, comply with law, and as otherwise permitted by our Privacy Policy.
  • AI Outputs. As between you and North, and to the extent permitted by law, you own the AI Outputs generated from your prompts, subject to third-party rights and the terms of underlying model providers. Similar outputs may be generated for other users; we make no guarantee of uniqueness.
  • You are solely responsible for Customer Content and for your use of AI Outputs, including their accuracy and legality.

10. Acceptable Use

You must comply with our Acceptable Use Policy, which is incorporated into these Terms. In summary, you must not use the Service for illegal activity, malware, spam, fraud, harassment or hate speech; you must not attempt prompt injection, model extraction, scraping, credential sharing, unauthorised security testing, or circumvention of rate limits or usage restrictions.

11. Reverse Engineering and Anti-Competition

You must not, and must not permit anyone to:

  • Reverse engineer, decompile, disassemble or attempt to derive the source code, models or prompt libraries of the Service, except to the extent such restriction is prohibited by law.
  • Harvest prompts, extract models or weights, or systematically collect AI Outputs.
  • Use the Service or AI Outputs to develop, train or improve a competing product or AI model.
  • Perform benchmarking or competitive analysis for publication or for building competing products without our written consent.
  • Use bots, scrapers or automated means to copy the Service or its content.

12. API Usage

Access to our APIs is subject to these Terms and any published API documentation. You must not exceed rate limits, share API keys, use the API to replicate the Service, or use the API in a manner that degrades the Service for others. We may throttle, limit or revoke API access at any time to protect platform integrity.

13. Confidentiality

Each party may receive non-public information of the other ("Confidential Information"). The receiving party must protect Confidential Information with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisers under confidentiality obligations, or where required by law.

14. Service Availability, Maintenance and Modifications

We aim to keep the Service available at all times but do not guarantee uninterrupted availability. We may perform scheduled and emergency maintenance, and we may modify, add or remove features. Paid plans may benefit from our Service Level Agreement where offered. We are not liable for outages caused by third-party providers, networks or events outside our reasonable control.

15. Suspension

We may suspend your access immediately, with or without notice, if we reasonably believe:

  • You have breached these Terms or the Acceptable Use Policy;
  • Your use presents a security threat or risk to platform integrity;
  • Your use involves fraud or illegal activity;
  • You have failed to pay amounts due;
  • Your usage places excessive load on the Service; or
  • Suspension is required by law.

We will restore access once the issue is resolved where reasonably possible.

16. Termination

You may terminate at any time by cancelling your subscription and closing your account. We may terminate these Terms with 30 days' notice, or immediately for material breach, insolvency, or where required by law. Upon termination, your license ends and we may delete Customer Content after a reasonable retrieval period, subject to our Privacy Policy and legal retention obligations.

17. Warranty Disclaimer

THE SERVICE, INCLUDING ALL AI OUTPUTS AND BETA FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE. NOTHING IN THIS SECTION LIMITS RIGHTS THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY.
  • OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) £100 / $100 FOR USERS ON FREE PLANS.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

19. Indemnification

You will defend, indemnify and hold harmless North, its officers, directors, employees and agents from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from: (a) your illegal use of the Service; (b) Customer Content you upload; (c) infringement of intellectual property or other rights caused by your content or use; (d) your fraud; or (e) regulatory violations caused by you.

20. Governing Law and Dispute Resolution

  • UK and rest of world users: These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers may benefit from mandatory protections of their country of residence.
  • US users: These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. YOU AND NORTH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. You may opt out of arbitration by written notice within 30 days of first accepting these Terms. Either party may seek injunctive relief in court for intellectual property or confidentiality breaches, and claims eligible for small claims court may be brought there.

21. Export Control

You must comply with applicable export control and sanctions laws, including those of the UK, EU and US. You represent that you are not located in an embargoed country and are not on any restricted party list.

22. Force Majeure

Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, internet or utility failures, or acts of government.

23. General

  • Entire agreement. These Terms, together with the policies referenced in them, are the entire agreement between you and North regarding the Service and supersede prior agreements.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Severability. If any provision is unenforceable, the remainder stays in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Survival. Sections concerning intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law and any provision that by its nature should survive, survive termination.
  • Changes. We may update these Terms; material changes will be notified via the Service or email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
